Director Qualifications

The Act sets out specific criteria for directors and a condo’s governing documents can add additional criteria. Some condos may pass by-laws requiring that directors also be owners in the building.

Directors must be 18 years old, not be bankrupt, not have been subject to prior litigation finding them incapable of serving and must comply with required disclosures

Who can be a director?

According to the Act, directors must:

  • Be an individual at least 18 years of age
  • Not be bankrupt
  • Not have been found incapable of managing property within the meaning of the Substitute Decisions Act or the Mental Health Act
  • Not have been found to be incapable by any court in Canada or elsewhere
  • Have complied with the required disclosure obligations

Disclosure Responsibilities

Directors have a continuous disclosure obligation throughout the duration of their term. Disclosing ensure they can avoid discussions where they may have a conflict of interest. The directors must provide these disclosures in writing and keep them current. Failing this, they would immediately cease to be a director.
